Chapter 1 General Provisions

Article 1: Name of the Association: Zibo General Chamber of Commerce Machinery Industry Chamber of Commerce

Article 2: The nature of this association: The Machinery Industry Chamber of Zibo General Chamber of Commerce is a non-profit member organization of the machinery industry and related industries under the leadership of the Zibo General Chamber of Commerce.

Article 3 The purpose of the Association: hold high the great banner of Deng Xiaoping Theory, follow the basic line and program of the CPC, abide by the Constitution, laws, regulations and policies of our country, and abide by socialist morality; Adhere to the principles of member organization, service, and integrity, guide and educate members to love their country, be dedicated, honest, abide by the law, and contribute, safeguard the legitimate rights and interests of members, improve their quality, and contribute to the standardization and development of the machinery industry.

Article 4: This association accepts the business guidance and supervision management of the Zibo General Chamber of Commerce.

Article 5 　Our address: 5th Floor, Kunlun Town Government, Zichuan District, Zibo City

Chapter 2 Main Tasks

Article 6: The main tasks of this association.

（1） Promote, implement, and enforce the policies and guidelines of the Party and the state to members, guide them to comply with national laws and regulations, regulate corporate behavior, and promote industry self-discipline;

（2） Organize members to study the policies and guidelines of the Party and the state, and actively participate in politics and deliberation;

（3） Provide economic, technological, information, production, management, financing, legal, regulatory and other consulting services to members;

（4） Organize members to visit, inspect or hold various exhibitions, trade fairs and other activities to enhance communication and cooperation between members and the industry;

（5） Widely connect with international organizations and institutions such as chambers of commerce and industry associations in Hong Kong, Macao Special Administrative Region, and Taiwan, organize members to carry out activities such as exchanges, mutual visits, and inspections, and promote international economic and trade exchanges and cooperation among members;

（6） To safeguard the legitimate rights and interests of members, reflect their difficulties, opinions, and demands, and help them solve problems and difficulties;

（7） Education members are enthusiastic about social welfare undertakings;

（8） Organize members to participate in various activities organized by the Federation of Industry and Commerce;

（9） Undertake tasks entrusted by the government and Zibo Chamber of Commerce.

Chapter 3 Members

Article 7 Types of Members of the Association

（1） Enterprise members: Enterprises with legal personality that mainly operate and produce products in this industry can join our association as enterprise members after application and approval.

（2） Group members: Social organizations in this industry with legal personality can join our association as group members after application and approval.

（3） Individual members: Operators, investors, and technical talents in this industry, including economic, theoretical, legal professionals and their related personnel, can join our association as individual members upon application and approval.

Article 8: To apply for membership in this association, the following conditions must be met:

（1） Support the constitution of this association;

（2） Willingness to join this association;

（3） Mechanical manufacturing enterprises and backbone enterprises or organizations related to mechanical enterprises.

Article 9 The procedure for membership is:

（1） Submit the application for membership;

The (II) is considered and adopted by the Council or an authorized unit of the Council;

The (III) shall be issued a membership card by the Council or an authorized unit of the Council;

Article 10 Members enjoy the following rights;

(I) the right to vote, to be elected and to vote;

(II) participate in the activities of the Association;

(III) the priority of obtaining the services of the Association;

(IV) the right to criticize, suggest and supervise the work of the Association;

（5） Voluntary membership and free withdrawal;

Article 11 Members shall perform the following obligations;

(I) implement the resolutions of this Council;

(II) safeguard the legitimate rights and interests of the Association;

(III) complete the work assigned by the Association;

(IV) pay membership dues on time as required;

(V) to reflect the situation and provide relevant information to the Council;

Article 12 Members shall notify the Council in writing of their withdrawal from the Council and return their membership cards. Member ifThose who fail to pay membership fees or participate in the activities of the Association for one year shall be regarded as automatic withdrawal;

Article 13 If a member seriously violates this Articles of Association or violates the law, the managerial meeting or the president's office meeting shall vote and be removed.

Chapter IV Organization and the creation and removal of persons in charge.

Article 14 The highest authority of the Association is the general assembly of members (representatives), and the functions and powers of the general assembly of members (representatives) are:

（1） Formulating and amending the articles of association;

(II) Election Council;

（3） Deliberate the work report and financial report of the council;

（4） Deciding on termination matters;

(V) decide on other major issues;

Article 15 The general meeting of members (representatives) shall haveMore than 1/2 of the members (representatives) can attend the meeting, and the resolution can only take effect if it is passed by more than half of the members (representatives) present.

Article 16 The general meeting of members (representatives) shall be held once every three years. If it is necessary to advance or postpone the term change due to special circumstances, it shall be approved by the Council and submitted to the Zibo General Chamber of Commerce for approval. However, the longest extension of the term of office shall not exceed1 year.

Article 17 The Council is the executive body of the General Assembly of Members (Representatives) when it is not in session and is responsible to the General Assembly of Members (Representatives).

Article 18 The functions and powers of the Council are:

(I) implement the resolutions of the general assembly of members (representatives);

(II) electing or removing directors, vice-presidents, honorary presidents and presidents;

(III) preparations for the convening of a general meeting of members (representatives);

Report the work and financial situation to the general assembly of members (representatives) in (IV);

The (V) decides to establish offices, representative offices and entities;

(VI) lead the work of the institutions of the Association;

(VII) formulate internal management system;

(VIII) decide on other major matters;

Article 19 The Council shall haveMore than 1/2 of the directors can be held only if they are present, and their resolutions can only take effect if they are approved by more than half of the directors present.

Article 20 The Council shall be convened at least once a year. In special circumstances, it may also be convened in the form of communication.

Article 21 The Council shall have an office meeting of the President. The president's office meeting is composed of president, honorary president and vice president. The Secretary-General shall attend the meeting of the Presidents. It shall be held at least once every six months. In case of special circumstances, it may also be held in the form of communication. The office meeting of the President shall haveThe meeting can only be held if more than 1/2 of the participants are present, and the resolution can only take effect if it is approved by more than half of the participants.

Article 22 the Association shall employ a number of honorary presidents, consultants and full-time staff, who shall be nominated by the president, approved by the president's office meeting, and submitted to the Zibo General Chamber of Commerce for approval before appointment.

Article 23 The president, honorary president and vice-president of the Association must meet the following conditions:

(I) adhere to the party's line, principles and policies and have good political quality;

(II) have a great influence in the business field of the Association;

The maximum age of (III) president, honorary president and vice president shall not exceed60 years of age;

(IV) good health, can adhere to the normal work;

(V) have full capacity for civil conduct.

Article 24 　If the president, honorary president and vice president of the association exceed the maximum age of service and need to extend their posts due to special circumstances, they shall be approved by the regular affairs council and submitted to the Zibo General Chamber of Commerce for examination and approval before they can take office.

Article 25 The term of office of the President, Honorary President and Vice President of the Association shall beThe president, honorary president and vice president may be re-elected for a maximum of three terms. If the term of office needs to be extended due to special circumstances, it shall be approved by more than half of the members (representatives) of the general assembly of members (representatives) and submitted to Zibo General Chamber of Commerce for approval.

Article 26 The President of the Association shall exercise the following functions and powers:

(I) to convene and preside over the Council and the President's office meetings;

（二）检查会员（代表）大会、理事会和会长办公会议决议的落实情况；

（三）代表本会签署有关重要文件；

（四）负责本会的财务；

（五）提名秘书长候选人。

第二十七条　本会秘书长行使下列职权：

（一）在会长办公会议的领导下，主持秘书处日常工作，组织实施年度工作计划；

（二）协调各代表机构、实体机构开展工作；

（三）提名副秘书长以及各办事机构、代表机构和实体机构主要负责人人选，报会长办公会议决定聘任；

（四）决定专职工作人员的聘用；

（五）处理其他日常事务。
